Mergers & Acquisitions Outlook

The government market has seen an uptick in merger and acquisition activities over the past year. In this Power Breakfast we’ll dive into what is driving this activity by talking to the dealmakers themselves.

Senior executives from leading companies will describe why M&A activities are so important in today’s market. This will include discussions on what makes for an attractive acquisition target, such as important technical capabilities, customer sets and contract vehicles as well as why culture comes up so often when discussing acquisitions.

We’ll also look at the other side of the coin – why sell and how do you prepare your company to be acquired.

Market analysts and M&A experts also will lend their insights into the threads that connect many of these deals and these dealmakers.

You’ll come away from this event with a better understanding about the forces driving these deals and how the changes are shaping the competitive landscape.

Over the years, Bob has worked with some of the most successful industry firms both advising them on their strategy as they grew and assisting them with their eventual sale. Some of his most recent transactions include MEI's merger with Quantitech, Zentex's sale to Vectrus, Tapestry Technologies' sale to Mantech and IBA's sale to DLH.

Prior to founding KippsDeSanto, Bob was a Managing Director in Houlihan Lokey’s Washington, DC office and a leader of Houlihan Lokey’s Aerospace∙Defense∙Government industry group. He was also with Peterson Consulting and Tucker Alan where he advised aerospace / defense, engineering, construction and technology companies.

Bob was recognized as the Dealmaker of the Year – Investment Banker by the Association for Corporate Growth’s National Capital Chapter. He is on the Board of Directors of Information Systems Laboratories, Inc., Easter Seals of the Greater Washington-Baltimore Region, and the Community Foundation of Northern Virginia. Bob is a frequent speaker on mergers & acquisitions involving aerospace / defense and technology firms and often provides market commentary to The Washington Post, Washington Business Journal, WashingtonExec, and Washington Technology, among others.

John Hassoun is the President and Chief Executive Officer (CEO) of VTG. In this role, he leads a company of talented experts focused on expanding America’s competitive advantage in the national security space by providing our clients force modernization and digital transformation solutions.

Prior to joining VTG, John founded HMS, LLC, a management consulting firm specializing in mergers and acquisitions, executive and leadership development, and cultural and systems integration.

Previously, John was the President of ASRC Federal’s Information Systems and Technology (IS&T) operating group. IS&T delivered mission-enabling cyber analytics, signal processing, cloud computing, big data management, and enterprise IT solutions to federal agencies in the defense, intelligence, and civilian agency markets.

John joined ASRC Federal through its acquisition of Vistronix in 2016, where as President and CEO, he built a technology solutions company focused on the intelligence community and next generation federal IT market.

John has over 30 years of executive experience in corporate strategy and business development, business operations, finance and program management.

After a successful career as a program manager and technical expert for the U.S. Air Force, John served in leadership roles at publicly-held General Dynamics (NYSE: GD) and Veridian (NYSE: VNX), and served as co-CEO of ATS Corporation until its acquisition by SalientCRGT. John’s extensive executive leadership experience also includes CEO positions that he held with Global Integrated Security and Olive Group.

John currently serves as a board director of GardaWorld Federal Services and GardaWorld Government Services. Both companies are leading providers of worldwide comprehensive security and risk management services.

John is a member of the board of Inspired Practices in Early Education, a nonprofit organization that promotes the exchange of ideas and points of view regarding education for young children, envisioning a state, a region, and a world where all children experience exceptional childhoods.

John received his master’s degree in Human Factors and his undergraduate degree in Psychology from Wright State University.

Reginald Brothers is the Chief Executive Officer of NuWave Solutions. Dr. Brothers is responsible for using his experience and knowledge to impact all facets of the company by making major corporate decisions that drive strategy and growth, acting as the main point of communication between the board of directors and internal corporate operations, and being the face of the NuWave. He has held this position since June 2020.

Most recently, Dr. Brothers was the Chief Technology Officer of Peraton, and prior to that was a principal with The Chertoff Group. From 2014 to 2017, he served as Under Secretary for Science and Technology at the U.S. Department of Homeland Security, where he was responsible for a science and technology portfolio that included basic and applied research, development, demonstration, testing, and evaluation with the purpose of helping DHS operational elements and the nation’s first responders achieve their mission objectives.

From 2011 to 2014, Dr. Brothers served as Deputy Assistant Secretary of Defense for Research at the Department of Defense. In this position, he was responsible for policy and oversight of the Department’s science and technology programs and laboratories. He has held senior roles at the Defense Advanced Research Projects Agency, BAE Systems, Draper Laboratory, and MIT Lincoln Laboratory.

Dr. Brothers received a B.S. in Electrical Engineering from Tufts University, an M.S. in Electrical Engineering from Southern Methodist University, and a Ph.D. in Electrical Engineering and Computer Science from the Massachusetts Institute of Technology.

In partnership with sector leadership, he ensures Peraton’s deep technology capabilities are deliberately aligned and architected to match customers’ current and future mission requirements.

Bringing more than 25 years of experience, Michael joined Peraton from Northrop Grumman where he most recently served as vice president, business development, for its Cyber and Intelligence Mission Solutions division. In that role he led the business development, capture, proposal, and customer engagement efforts in support of a more than $1B portfolio focused on delivering full-spectrum cyber, data management, and mission-enabling intelligence, surveillance, and reconnaissance solutions to government customers around the world.

Michael earned a bachelor’s degree in business from James Madison University. He was appointed to the Intelligence and National Security Alliance (INSA) board of advisors in 2018.
